Governance and Board Advisory

We work with in-house legal teams to establish and implement governance arrangements, policies and guidelines. We also provide strategic advice to Management and Boards on corporate governance matters and special/strategic projects and their implementation.

Funding and Project Finance

We support our clients to establish fit-for-purpose debt and equity funding arrangements for their energy projects. Our team has extensive experience working with the major banks to establish debt funding facilities as part of achieving project financial close.

Offtake

We support our clients to negotiate ISDA schedules and electricity derivative transactions.

Property, Planning and Environment

Our team works closely with clients from the inception of projects to support required project property acquisitions and obtaining approvals, and advises clients on the applicable legislative frameworks applying to these processes.

Corporate Structuring

We advise project developers on the appropriate corporate structuring for delivery of their energy projects, based on our clients’ needs. We have acted for clients selling and acquiring businesses or projects; establishing joint venture arrangements; and establishing special purpose vehicles to deliver their projects and accommodate financing requirements.

Regulation and Access Frameworks

We advise extensively on the energy regulatory framework in Australia, including the application of the National Electricity Law and Rules (including connection arrangements and access policies), as well as bespoke jurisdictional energy legislation such as the Electricity Infrastructure Investment Act (NSW) and the Energy (Renewable Transformation and Jobs) Act (Qld).

We advise clients on energy policy design and implementation. We are pleased to have had a role in the design and implementation of the renewable energy zone legislation in a number of jurisdictions.

Network Connection

We act for clients negotiating the connection of energy projects to the transmission and distribution networks around Australia. We have extensive experience in both the delivery of network and connection assets, as well as managing connection services over the life of a facility’s connection.

Construction – Energy Projects

We provide advice to clients negotiating the construction arrangements for their energy projects. We have extensive experience in developing fit-for-purpose contracting structures to support our clients’ needs, and we understand the latest industry trends affecting our clients’ projects.
